Terms & Conditions – Umoja Marketplace Africa

Welcome to Umoja Marketplace Africa (“Umoja,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your access to and use of our website, mobile platforms, products, and services. By using Umoja Marketplace Africa, you agree to comply with these Terms. If you do not agree, please discontinue using our services.

1. Eligibility

  • You must be at least 18 years old to place an order or register as a vendor.

  • By using our services, you confirm that you have the legal capacity to enter into a binding agreement under Kenyan law.

2. Nature of Our Marketplace

  • Umoja Marketplace Africa operates as a hybrid model:

    • We sell our own stocked products.

    • We also partner with registered vendors and brands in Kenya. Umoja markets and sells these products, then remits vendor payouts after deducting our profit margin.

  • All vendors must meet strict standards for authenticity and quality. Umoja reserves the right to reject or remove vendors who supply counterfeit, defective, or misleading products.

  • Vendors sell to Umoja at wholesale prices, and Umoja sets retail prices for customers.

3. Products and Availability

  • All products listed are subject to availability. We strive to keep listings accurate, but errors may occur.

  • Product images are for illustration; actual product appearance may vary slightly.

  • Umoja reserves the right to update, discontinue, or substitute products without notice.

4. Pricing and Payments

  • All prices are in Kenyan Shillings (KES) and include VAT unless otherwise stated.

  • Prices may vary based on weight, distance, courier charges, and promotions.

  • We accept the following payment methods:

    • M-Pesa Till

    • Debit/Credit Cards (securely processed by third-party providers)

  • Orders are only processed upon successful payment confirmation.

5. Orders and Fulfillment

  • Orders can be placed through our website or confirmed via WhatsApp.

  • Delivery timelines:

    • Same-day delivery in Nairobi (for qualifying products ordered within cut-off times).

    • Up to 3 business days for the rest of Kenya.

  • Nationwide delivery is fulfilled by Nation Media Couriers, a trusted logistics partner.

  • Customers are responsible for providing accurate delivery information. Umoja is not liable for delays or failed deliveries due to incorrect addresses or unavailable recipients.

  • Delivery charges are calculated based on weight, size, and destination and are communicated before order confirmation.

6. Returns and Refunds

  • Refund Eligibility:

    • Refund requests must be made within 3 days of delivery.

    • Products must be unused, intact, and in original packaging.

    • Returns are subject to inspection by Umoja evaluators. Refunds are only processed if the product passes evaluation.

  • Non-Returnable Items:

    • Personal care items, opened software, hygiene-sensitive items, and products damaged due to customer misuse.

  • Refund Process:

    • Approved refunds are processed within 3 business days via the original payment method (M-Pesa or card).

  • Replacement Policy:

    • If a product is defective or incorrect upon delivery, Umoja will arrange for replacement at no extra cost.

7. Vendor Obligations

Vendors registered with Umoja Marketplace Africa must:

  • Supply only genuine, high-quality products.

  • Adhere to agreed wholesale pricing and delivery terms.

  • Cooperate with Umoja in handling warranty claims, returns, or complaints.

  • Maintain compliance with Kenyan laws, including intellectual property and consumer protection laws.
    Umoja reserves the right to suspend or terminate partnerships with vendors who breach these obligations.

8. Warranties and Authenticity

  • Umoja guarantees that all products sold through our platform are authentic and sourced from trusted vendors.

  • Where applicable, manufacturer warranties apply. Warranty terms differ by product and brand.

  • Umoja does not provide warranties beyond those offered by manufacturers.

9. Limitation of Liability

  • Umoja Marketplace Africa shall not be liable for:

    • Indirect or consequential losses (profits, business opportunities, or data).

    • Delays or failures caused by courier services, strikes, natural disasters, or events beyond our control.

  • Our total liability in any claim shall not exceed the total amount paid for the product in question.

10. Intellectual Property

  • All content on the Umoja website (logos, branding, text, and product descriptions) remains the property of Umoja Marketplace Africa.

  • Vendors may not use Umoja branding without written consent.

  • Customers may not copy, reproduce, or distribute content for commercial purposes.

11. Communications

  • By using our services, you agree to receive communications via WhatsApp, SMS, email, or phone relating to your orders, deliveries, or customer support.

  • You can opt out of promotional marketing at any time by contacting support.

12. Privacy and Data Protection

Your data is protected in accordance with our Privacy Policy. By using Umoja, you consent to our collection and use of your information as outlined therein.

13. Termination of Service

  • We reserve the right to suspend or terminate accounts suspected of fraud, misuse, or policy violations.

  • Vendors who repeatedly breach quality standards may have their partnership permanently revoked.

14. Governing Law

These Terms are governed by the laws of Kenya. Any disputes will be resolved in Kenyan courts.

15. Changes to Terms

We may update these Terms occasionally. Updates will be posted on our website with the effective date. Continued use of our services after changes means you accept the new Terms.
